1. Uninstall the YouTube app
2. Create directory : /system/app/YouTube with 755 permission
3. Put the downloaded apk to /system/app/YouTube.apk
4. Reboot

Use Root Explorer to set permission,
755 is something like this:

√ - √
√ - √


And of course it would be parse error, it meant to be pushed into system, not to be installed reguler way
